1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at sapultut.pro and any related services, features, content, and offerings provided by sapultut.pro (collectively, the “Services”).

By accessing, browsing, booking, purchasing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

The Services are operated by sapultut.pro, located at 2150 Yonge Street, Suite 300, Toronto, ON M4S 2A9, Canada. These Terms form a legally binding agreement between you and sapultut.pro.

2. Scope of Services

sapultut.pro operates as a recording studio business and may provide, without limitation, the following services:

• Audio recording sessions
• Studio rental and booking services
• Voice recording and vocal production support
• Mixing, editing, and related post-production services
• Equipment use and technical assistance during studio sessions
• Consultation and other related creative audio services

The availability, specifications, duration, pricing, and delivery timeline of any Service may vary and may be subject to separate written agreements, booking confirmations, studio policies, or project-specific terms.

sapultut.pro reserves the right to modify, suspend, or discontinue any part of the Services at any time, subject to applicable law and any binding booking or contractual commitments.

3. User Obligations and Responsibilities

When using the Services, you agree that you will:

• Provide accurate, current, and complete information when making inquiries, bookings, or payments;
• Comply with all studio rules, safety instructions, and reasonable directions provided by staff;
• Use the studio, equipment, and facilities responsibly and only for lawful purposes;
• Not bring prohibited items, hazardous materials, illegal substances, or unauthorized individuals into the studio;
• Not damage, misuse, reverse engineer, tamper with, or remove studio equipment or property;
• Arrive on time for scheduled sessions and respect booked time slots;
• Be responsible for the conduct of your guests, collaborators, or representatives;
• Obtain all necessary permissions, licences, releases, and consents for any materials you provide or record;
• Not infringe the intellectual property, privacy, publicity, or other rights of any third party;
• Comply with all applicable federal, provincial, and municipal laws in Canada.

You are responsible for any loss, damage, or additional charges arising from your breach of these Terms or from the actions of your guests, contractors, or collaborators.

4. Payment Terms and Conditions

Fees for Services will be disclosed at the time of booking, quotation, invoice, or other written communication. Unless otherwise stated, all prices are in Canadian dollars (CAD) and are exclusive of applicable taxes, which may be added where required by law.

• Payment may be required in advance, at the time of booking, or upon completion of services, depending on the service arrangement.
• sapultut.pro may require a deposit or retainer to secure a booking.
• Bookings are not confirmed until the required payment or deposit is received, where applicable.
• Late payments may be subject to administrative fees, interest, or suspension of Services, to the extent permitted by law and disclosed in advance.
• You are responsible for any chargebacks, failed payments, bank fees, or payment processor fees caused by your payment method.

If a session exceeds the booked time or requires additional services, you agree to pay the applicable additional fees. sapultut.pro may refuse continued service if payment is overdue or if payment conditions are not met.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests must be made in accordance with the booking terms communicated at the time of reservation. In the absence of a separate written policy, the following general rules apply:

• Deposits may be non-refundable to the extent permitted by law, particularly where they secure reserved studio time.
• If you cancel with insufficient notice, you may forfeit some or all of the fees paid, including deposits.
• Failure to attend a booked session (“no-show”) may result in full charge of the booked time.
• Refunds, if any, are issued at the sole discretion of sapultut.pro and may depend on the circumstances and work already performed.
• If sapultut.pro must cancel a booking for operational reasons, it will use commercially reasonable efforts to reschedule or provide a refund for the affected portion of the Services.

Any refund granted will be processed using the original payment method where practicable, unless otherwise agreed in writing.

6. Liability Limitations

To the maximum extent permitted by applicable law, sapultut.pro, its owners, employees, contractors, representatives, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, reputational harm, or lost opportunities, arising out of or related to the use of the Services.

To the maximum extent permitted by law, the total aggregate liability of sapultut.pro for any claim arising from or relating to the Services shall not exceed the amount paid by you for the specific Service giving rise to the claim in the six (6) months preceding the event giving rise to liability, or CAD $100, whichever is greater, except where such limitation is prohibited by law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law, including liability for fraud, wilful misconduct, or other liability that cannot lawfully be limited in Canada.

You acknowledge that recording environments may involve inherent risks, including equipment failure, technical issues, file corruption, acoustical issues, and interruptions. sapultut.pro is not responsible for delays or defects caused by circumstances beyond its reasonable control.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in the website, branding, software, templates, workflows, studio materials, methods, and content created by sapultut.pro prior to or outside a specific client project remain the exclusive property of sapultut.pro or its licensors.

You retain ownership of the original content you provide to the studio, subject to any licences necessary for sapultut.pro to perform the Services.

By submitting content, recordings, or other materials to sapultut.pro, you grant sapultut.pro a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, store, transmit, and process such materials solely for the purpose of providing the Services, administering your account, preserving backups, and fulfilling legal obligations.

Unless otherwise agreed in a separate written contract:

• Raw session files, stems, edits, and final masters may be delivered according to the agreed project scope;
• Ownership of recordings or deliverables may transfer only upon full payment, if stated in the booking or invoice terms;
• sapultut.pro may retain archival copies for operational, evidentiary, or legal purposes;
• You are responsible for ensuring that your use of any deliverables does not infringe third-party rights.

You must not copy, reproduce, distribute, or exploit any materials belonging to sapultut.pro without prior written consent.

8. Data Protection and Privacy

sapultut.pro collects, uses, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any applicable provincial privacy legislation.

Personal information may be collected for purposes including booking management, customer support, invoicing, payment processing, legal compliance, service improvement, and communication regarding the Services.

sapultut.pro will use reasonable safeguards to protect personal information. However, no method of transmission or storage is completely secure, and sapultut.pro cannot guarantee absolute security.

By using the Services, you consent to the collection, use, and disclosure of personal information as described in these Terms and in any applicable privacy notice. Where required by law, additional consent will be obtained.

9. Force Majeure

sapultut.pro shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including but not limited to:

• Acts of God, fire, flood, storm, or other natural disasters;
• Power outages, internet failures, telecommunications disruptions, or utility interruptions;
• Labour disputes, strikes, lockouts, or staff shortages;
• Government actions, public health emergencies, or legal restrictions;
• Equipment failure not caused by gross negligence or wilful misconduct;
• War, terrorism, civil unrest, or other force majeure events.

In such circumstances, sapultut.pro may reschedule, suspend, or cancel affected Services without liability except as otherwise required by law or expressly agreed in writing.

10. Changes to Terms

sapultut.pro may revise these Terms from time to time to reflect changes in its Services, business practices, or applicable law. The updated Terms will be posted on sapultut.pro with a revised effective date.

Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or your use of sapultut.pro shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory consumer protection laws, you agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect to the maximum extent permitted by law.

The failure of sapultut.pro to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing.
